1. Acceptance of Terms

By creating an account, accessing, or using the Valet Hero platform (the "Service"), you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Description of Services

Valet Hero is a cloud-based operations management platform built for valet trash, curbside collection, and waste service providers. The Service includes:

Route and stop management for daily collection operations
GPS-verified clock-in/clock-out and real-time location tracking for field team members
Photo proof of service and doorstep checkpoint verification
Violation documentation, photo capture, and resident notification
Automated shift reports and operational analytics
NFC bin tag scanning and tracking
SMS notifications to residents regarding collection status and violations
Multi-community and multi-property management
Team scheduling, hiring tools, and role-based access controls
Web-based admin dashboard and companion mobile application for field staff

Valet Hero reserves the right to add, modify, or discontinue features at any time with reasonable notice to active subscribers.

3. Account Registration

To use the Service you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@valethero.com if you suspect unauthorized access.

Accounts are for business use only. You may not share a single seat credential across multiple individuals; each active team member requires their own licensed seat.

4. Subscription and Billing

4.1 Seat-Based Pricing

The Service is priced at $50 USD per active user seat per month. The account owner counts as one seat. You may add or remove seats at any time; charges adjust automatically on your next billing cycle through our payment processor (Stripe).

4.2 Billing Cycle

Subscriptions are billed monthly in advance on the anniversary of your signup date. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.3 Payment

You authorize Valet Hero to charge your payment method on file for all applicable fees. If a payment fails, we may suspend access to the Service until the balance is resolved. You are responsible for keeping your billing information current.

4.4 Taxes

Fees do not include any applicable taxes. You are responsible for all taxes associated with your use of the Service, excluding taxes based on Valet Hero's net income.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
Reverse engineer, decompile, or attempt to extract the source code of the Service
Resell, sublicense, or otherwise transfer access to the Service to third parties without written consent
Upload or transmit malware, spam, or any content that violates third-party rights
Interfere with or disrupt the integrity or performance of the Service or its infrastructure
Use the Service to send unsolicited SMS messages outside the resident notification feature
Impersonate any person or entity or misrepresent your affiliation with any person or entity

6. Customer Data

"Customer Data" means all data, photos, reports, and content submitted by you or your team members through the Service (including GPS records, violation photos, shift data, and resident contact information). You retain all ownership rights to your Customer Data.

You grant Valet Hero a limited license to store, process, and display Customer Data solely to provide and improve the Service. We will not sell your Customer Data to third parties.

You are responsible for ensuring that any personal data you submit (including resident phone numbers and contact information) is collected and shared in compliance with applicable privacy laws, including obtaining any required consents for SMS communications.

7. SMS Notifications

The Service enables you to send automated SMS messages to residents regarding collection schedules, clock-ins, and violations. By using this feature, you agree to:

Obtain appropriate consent from recipients before enrolling their numbers
Honor all opt-out requests (STOP replies) promptly
Comply with the Telephone Consumer Protection Act (TCPA) and all applicable messaging laws

Valet Hero is not liable for any claims arising from your failure to obtain proper consent or comply with applicable messaging regulations.

8. Intellectual Property

Valet Hero and its licensors retain all right, title, and interest in and to the Service, including all software, design, trademarks, and documentation. These Terms do not grant you any intellectual property rights in the Service beyond the limited license to use it during your active subscription.

Any feedback, suggestions, or ideas you provide about the Service may be used by Valet Hero without restriction or compensation to you.

9. Confidentiality

Each party may have access to confidential information of the other party. Each party agrees to use the other's confidential information solely to exercise its rights and fulfill its obligations under these Terms, and to protect it with at least the same degree of care used for its own confidential information (but no less than reasonable care). This obligation does not apply to information that is or becomes publicly available through no breach of this section.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Valet Hero does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data will be secure or not otherwise lost or damaged. GPS accuracy and SMS delivery depend on third-party infrastructure outside our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALET HERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

VALET HERO'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Valet Hero and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your Customer Data; (c) your violation of any applicable law; or (d) your SMS communications to residents.

13. Term and Termination

13.1 Term

These Terms commence when you create an account and continue on a month-to-month basis until terminated.

13.2 Cancellation

You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.

13.3 Termination for Cause

Valet Hero may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay fees after reasonable notice.

13.4 Effect of Termination

Upon termination, your right to access the Service ceases immediately. You may request an export of your Customer Data within 30 days of termination; after that period, we may delete it in accordance with our data retention practices.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.

Before filing any legal claim, you agree to first contact us at info@valethero.com and attempt to resolve the dispute informally for at least 30 days.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your subscription before the effective date.

16. General

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Valet Hero regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of future enforcement.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Valet Hero may assign these Terms in connection with a merger, acquisition, or sale of assets.
